Affiliate Program – Terms and Conditions

1. Contracting Parties
These terms and conditions govern the cooperation between
• SCL&DG Labs GmbH, Heimstättenstraße 3, 89077 Ulm, Germany (hereinafter referred to as "we" or "us") and
• the respective affiliate partner (hereinafter referred to as "you" or "Affiliate").

2. Subject of the Contract
Our affiliate program allows you to promote our products on your own website or social media channel and receive a commission for it. For this purpose, we provide you with special partner links (tracking links).
You will receive a 12% commission on the net sales after returns of all qualified sales generated through your personal partner link. However, payment will only be released if at least 2 new videos per month are published on your social media account.

3. Registration and Admission
Participation in the affiliate program requires registration on our partner platform (GoAffPro). We review every application and reserve the right to reject applications without stating reasons.
By registering, you confirm:
• that you are at least 18 years old and legally competent,
• that you have a registered small business (this is mandatory and confirmed by a checkbox during registration),
• that the data provided during registration is complete, correct, and kept up-to-date.

4. Advertising Materials and Tracking Links
After approval, you will receive access to your partner dashboard with tracking links and advertising materials.
• Only these official links may be used.
• The links must be integrated in such a way that proper tracking is ensured.
• It is expressly forbidden to place paid advertisements (e.g., Google Ads, Facebook Ads) with our links.

5. Commission and Billing
• Commission: 12% of net sales (after returns) of all purchases made via your tracking link.
• Cookie duration: 30 days.
• Orders that are canceled, returned, or unpaid are excluded.
• Payout: monthly via PayPal.
• Minimum payout amount: €20.
• Amounts below the limit will be collected and paid out in the following month as soon as the limit is reached.
• All payments are net amounts, excluding VAT.

6. Tax Obligations
• As an Affiliate, you are solely responsible for the correct tax treatment of your earnings.
• Affiliates in the DACH region can optionally submit their VAT ID to us.
• For German Affiliates, the regulation of § 19 UStG (small business owner) only applies if it is applicable and correctly stated.

7. Affiliate Obligations
• No misrepresentations about products or companies.
• No misleading or unfair advertising.
• No spamming or unauthorized contact.
• No use of paid advertising (Ads) for our links.
• No integration of links into coupon/discount portals without our prior written consent.
• No use or promotion in unlawful or offensive environments (pornography, violence, hatred, etc.).
We reserve the right to immediately exclude Affiliates who violate these rules from the program and to withhold outstanding commissions.

8. Contract Term and Termination
• The contract is concluded for an indefinite period.
• Both parties can terminate the contract at any time without stating reasons.
• Upon termination, all advertising materials and tracking links must be removed from your pages.

9. Liability
• We are not liable for indirect damages, lost profits, or consequential damages.
• Our liability is limited to intent and gross negligence.
• We do not guarantee the technical operation and availability of the affiliate platform (GoAffPro).

10. Data Protection
• We process your data for the purpose of carrying out the partner program and in accordance with our privacy policy.
• You are obliged to inform your visitors about the tracking technologies used (e.g., cookies) in accordance with the GDPR.

11. Changes
We reserve the right to amend these terms and conditions with effect for the future. We will inform you about changes by email or in the partner dashboard.
If you do not agree to the changes, you can terminate at any time.

12. Applicable Law and Jurisdiction
• German law applies.
• The place of jurisdiction is Cologne, if legally permissible.

13. Final Provisions
• Should individual provisions be ineffective, the remainder of the contract remains valid.
• Amendments and additions require text form.
